1. Introduction

Welcome to AgiCrowds. These Terms of Service ("Terms") govern your access to and use of the AgiCrowds platform, including any websites, mobile applications, and services offered by AgiCrowds Inc. ("AgiCrowds," "we," "us," or "our").

By accessing or using AgiCrowds, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use AgiCrowds.

2. Definitions

3. Account Registration

4. User Content

You retain all rights in, and are solely responsible for, the Content you upload, submit, or otherwise make available through the Service.

By uploading, submitting, or otherwise making available any Content through the Service, you grant AgiCrowds a worldwide, non-exclusive, royalty-free license to use, copy, modify, create derivative works based upon, distribute, and display such Content for the purpose of operating and providing the Service.

5. Subscription and Billing

Some features of the Service require a subscription. By subscribing to the Service, you agree to pay the applicable fees as they become due.

Unless otherwise stated, all fees are quoted in U.S. Dollars. You are responsible for paying all fees and applicable taxes in a timely manner with a valid payment method. If your payment method fails or your account is past due, we may collect fees using other collection mechanisms.

Subscriptions automatically renew for successive periods unless canceled before the end of the current period. You can cancel your subscription at any time through your account settings.

6. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of AgiCrowds and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of AgiCrowds.

7. Limitation of Liability

In no event shall AgiCrowds, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
